(1) Introduction and Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the website located at drphiliptisdall.com, as well as any related services, applications, content, and community offerings provided by Clinicopath LLC d/b/a Medical School Companion (“MSC”).
By accessing or using MSC services, creating an account, or purchasing a subscription, you agree to be bound by these Terms. If you do not agree, you must not use MSC services.
(2) Definitions
For purposes of these Terms:
- “MSC” refers to Clinicopath LLC d/b/a Medical School Companion;
- “Services” refers to all content, products, subscriptions, websites, applications, and community features provided by MSC;
- “User” means any individual who accesses or uses the Services;
- “Content” includes, without limitation, lectures, recordings, written materials, diagrams, discussions, and all other educational materials;
- “Subscription” means any paid, recurring access to MSC Services;
- “Physical Products” means printed textbooks, workbooks, and related educational materials sold by MSC and fulfilled through a third-party print-on-demand partner; and
- “Platform” includes any system through which MSC Services are delivered, including third-party providers.
(3) Nature of Services
MSC provides educational content and services intended to support learning and professional development.
MSC does not provide medical advice. All Content is for educational purposes only and is not intended to diagnose, treat, or prevent any medical condition. Use of the Services does not create a physician-patient relationship.
(4) Eligibility and Intended Use
The Services are intended for individuals seeking to enhance their understanding of medical concepts, including medical students, educators, and related professionals.
The Services are not intended for use by patients or for making medical decisions.
Users must be at least eighteen (18) years of age or have the legal capacity to enter into binding agreements.
(5) User Accounts
Users may be required to create an account to access certain Services.
Users agree to:
- provide accurate and complete information;
- maintain the confidentiality of their login credentials; and
- accept responsibility for all activity under their account.
MSC reserves the right to suspend or terminate accounts at its sole discretion.
(6) Subscriptions and Billing
MSC offers subscription-based access to its Services.
- Subscriptions are billed on a recurring basis (e.g., monthly);
- By subscribing, you authorize recurring charges through MSC’s payment processor, including Stripe;
- Subscriptions automatically renew unless cancelled prior to the next billing cycle; and
- MSC reserves the right to modify pricing at any time, with reasonable notice.
(7) Cancellation and Refund Policy — Subscriptions
Users may cancel their Subscription at any time. Cancellation will take effect at the end of the current billing cycle.
All subscription payments are final. MSC does not provide refunds for any reason, including partial use, dissatisfaction, or failure to cancel prior to renewal.
(8) Physical Product Orders
MSC offers Physical Products for sale, including textbooks and related educational materials. Physical Products are sold through the MSC website and fulfilled by a third-party print-on-demand partner. Each copy is manufactured to order; MSC does not maintain inventory.
(9) Pricing and Payment — Physical Products
All prices for Physical Products are listed in US Dollars (USD) unless otherwise indicated. International customers may see prices displayed in their local currency at the applicable exchange rate; however, all transactions are processed in USD.
Payment is collected at the time of purchase through MSC’s ecommerce platform. By placing an order, you authorize MSC to charge the payment method provided for the full amount of the order, including any applicable taxes.
(10) Order Processing and Fulfillment
Physical Product orders are processed through MSC’s print-on-demand fulfillment partner. Once an order is placed and payment is confirmed:
- The order is transmitted to MSC’s fulfillment partner for production;
- The product is printed, bound, and shipped directly to the shipping address provided by the customer; and
- Tracking information is provided via email once the order has shipped.
Estimated delivery times are approximately 7–15 business days for domestic (United States) and international orders. Delivery times are estimates and are not guaranteed. MSC is not responsible for delays caused by carriers, customs processing, or events beyond its control.
(11) Order Cancellation — Physical Products
Orders may be cancelled within a limited window after placement. Once an order has entered production, it cannot be cancelled, modified, or redirected. MSC will make reasonable efforts to accommodate cancellation requests received promptly after the order is placed, but cannot guarantee cancellation once the order has been submitted to the fulfillment partner.
(12) Shipping Policy
MSC currently offers free shipping on all Physical Product orders to all destinations served. MSC reserves the right to modify its shipping policy, including the introduction of shipping fees, at any time.
All orders are shipped via the least expensive trackable shipping method unless otherwise specified. MSC ships to addresses worldwide, subject to carrier availability and applicable restrictions.
Customs, duties, and import taxes: International customers are solely responsible for any customs duties, import taxes, brokerage fees, or other charges imposed by their country of destination. These charges are not included in the product price or shipping cost and are the sole responsibility of the customer.
Address accuracy: Customers are responsible for providing a complete and accurate shipping address, including a valid phone number. MSC is not responsible for orders that are undeliverable, delayed, or lost due to incorrect or incomplete address information. Reshipment of orders returned due to address errors may incur additional charges.
(13) Returns and Refunds — Physical Products
Because Physical Products are manufactured to order, MSC does not accept returns for reasons of dissatisfaction, change of mind, or buyer’s remorse.
Damaged or defective products: If a Physical Product arrives damaged, defective, or materially different from what was ordered, the customer must contact MSC within fourteen (14) days of delivery at hello@drphiliptisdall.com with photographic evidence of the issue. MSC will, at its sole discretion, arrange for a replacement to be shipped at no additional cost or issue a refund for the affected item.
Lost shipments: If a shipment is confirmed lost by the carrier (based on tracking information), MSC will arrange for a replacement to be shipped at no additional cost.
No refunds or replacements will be issued for orders that show successful delivery per carrier tracking information.
(14) Risk of Loss
Title to and risk of loss for Physical Products passes to the customer upon delivery of the product to the shipping carrier.
(15) Product Descriptions and Accuracy
MSC makes reasonable efforts to ensure that product descriptions, images, and specifications are accurate. However, MSC does not warrant that product descriptions or other content are error-free, complete, or current. If a Physical Product received by the customer is materially different from what was described, the customer’s sole remedy is as described in the Returns and Refunds section above.
(16) Intellectual Property Rights
All Content and Services provided by MSC are the exclusive property of Clinicopath LLC or its licensors.
Users are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only.
Users shall not:
- copy, reproduce, distribute, or publicly display Content;
- record or download lectures without authorization;
- share account access; or
- use Content for commercial purposes.
(17) Prohibited Uses
Users shall comply with all applicable laws and shall not misuse the Services.
All use is further governed by MSC’s Acceptable Use Policy, which is incorporated herein by reference.
(18) Third-Party Services
MSC may rely on third-party platforms to deliver Services, including community hosting and payment processing.
Use of such services may be subject to separate terms and policies of those providers, including Circle.
MSC is not responsible for the operation or availability of third-party services.
(19) Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis.
MSC makes no warranties, express or implied, including but not limited to:
- accuracy, completeness, or reliability of Content;
- uninterrupted or error-free operation; or
- fitness for a particular purpose.
(20) Limitation of Liability
To the fullest extent permitted by law, MSC shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to use of the Services.
MSC shall not be liable for any decisions made based on Content or for any academic, professional, or personal outcomes.
Physical Products: MSC’s total liability for any claim arising out of or related to the purchase of a Physical Product shall not exceed the purchase price paid by the customer for the specific product at issue. [NEW]
(21) Indemnification
Users agree to indemnify and hold harmless Clinicopath LLC, its affiliates, and its representatives from any claims, damages, liabilities, or expenses arising out of:
- use of the Services;
- violation of these Terms; or
- misuse of Content.
(22) Termination
MSC reserves the right to suspend or terminate access to the Services at any time, with or without notice, including for violations of these Terms or the Acceptable Use Policy.
No refunds will be issued in connection with termination.
(23) International Use
MSC operates globally. By using the Services, Users acknowledge that their information may be transferred and processed in jurisdictions outside their country of residence.
Users are responsible for compliance with local laws.
(24) Modifications to Services and Terms
MSC reserves the right to:
- modify or discontinue any part of the Services; and
- update these Terms at any time.
Continued use of the Services constitutes acceptance of any updated Terms.
(25) Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
